Terms of Use

These Terms of Use are the End User License Agreement (EULA) for Vagal. App Store Guideline 3.1.2 requires a subscription app to link to them from its paywall, and the paywall does — alongside the Privacy Policy.

The short version: Vagal is a wellness app, not a medical device. Vagal's features require Premium, an auto-renewing subscription billed by Apple; there is no free tier, but the annual plan starts with a 7-day introductory free trial offered through the App Store, and crisis resources are always accessible without a subscription. You cancel or ask for a refund through Apple, not through us. Nothing here takes away a right your local consumer law gives you.

1. Acceptance

These Terms are an agreement between you and Entropy Ventures LLC ("we", "us", "our"), which operates Vagal ("the app"). By downloading, installing or using the app, you agree to these Terms. If you do not agree, do not use the app. If you are using Vagal on behalf of someone else — a patient, a client, a family member — you are responsible for their use of it under these Terms.

2. Who May Use Vagal

You must be at least 13 years old to use Vagal. This matches the floor in the Privacy Policy §7: Vagal is not directed at children under 13 and we do not knowingly collect their data. If you are between 13 and the age of majority where you live, you may use Vagal only with the consent of a parent or guardian, and only that parent or guardian may buy a subscription.

A note on the App Store age rating. Vagal's content contains nothing age-restricted — no user-generated content, no messaging, no advertising, no gambling, no mature themes — so on content alone it would rate 4+. The App Store rating is nevertheless set to 12+ or higher so that the store listing does not contradict the 13+ floor above; the reasoning is recorded in docs/APP_PRIVACY_NUTRITION_LABEL.md §7. Assumption stated plainly: we chose consistency with our own privacy floor over the lowest technically defensible content rating. If the privacy floor is ever lowered, the rating should be revisited at the same time.

3. What Vagal Is

Vagal is a general wellness app for guided breathing practice. It provides:

• Guided breathing patterns with visual, audio and haptic pacing
• Short non-breathing regulation exercises (a body scan, a grounding sequence and a release sequence)
• Session history, streaks and statistics
• Optional resonance calibration, to find a breathing rate that suits you
• Optional integration with Apple Health / Google Health Connect, and with an Oura ring
• Optional cloud sync of your session summaries across your own devices
• A companion Apple Watch app
• Educational reference material, including a section written for clinicians

Vagal does not provide cold-exposure, breath-hold or hyperventilation protocols, and nothing in the app should be read as instructing you to hold your breath beyond comfort.

4. Not Medical Advice, and Not a Medical Device

Vagal is not a medical device. It does not diagnose, treat, cure, prevent or monitor any disease, injury or medical condition, and it is not a substitute for professional medical, psychiatric or psychological care. It is not cleared, approved or registered by the FDA, the MHRA, the EMA or any other regulator, and no claim on this page or in the app should be read as a medical claim.

The heart-rate-variability and heart-rate figures Vagal displays come from consumer sensors — your phone, watch or ring — and are not clinical measurements. Do not use them to make a medical decision, to adjust medication, or in place of advice from a healthcare professional.

Please:

• Talk to a healthcare professional before starting any breathing practice if you are pregnant, have a cardiovascular or respiratory condition, epilepsy, a history of fainting, panic disorder, or any other condition that breathing exercises could affect.
• Practise seated or lying down, never while driving, cycling, swimming, operating machinery or anywhere a moment of light-headedness would be dangerous.
• Stop immediately if you feel dizzy, faint, short of breath, numb, or distressed. Breathe normally, and seek help if it does not pass.

If you are in crisis or thinking about harming yourself, use the resources in Settings → About → Crisis resources or contact your local emergency number. Crisis resources are always accessible, with or without a subscription (§6). Vagal is not an emergency service and cannot summon one.

You use Vagal at your own risk, and you are responsible for deciding whether a given exercise is appropriate for you.

5. Clinician and Program Content

Some of Vagal's reference material is written for clinicians who may recommend breathing practice to the people they treat. That material is educational background, not clinical guidance, and we do not provide clinical supervision, patient monitoring or any regulated service. A clinician who recommends Vagal does so on their own professional judgment and remains solely responsible for the care they provide. Vagal is not a HIPAA-covered entity and is not offered as a business associate of any covered entity.

6. Premium Access and the Free Trial

Vagal's breathing patterns, exercises and features require Vagal Premium. There is no free tier and no free breathing pattern. The one exception is a single guided introductory breath during onboarding: about one minute of Vagal's Resonance pattern, offered before you see the subscription options so you know what the app does before you decide. It is available during onboarding only, is not saved, and does not unlock any other feature. You can get Premium by subscribing (§7), and new subscribers to the annual plan can start with a 7-day introductory free trial offered through the App Store (§7.3), which gives full access to Premium while it lasts. Premium can also come from a gift code or a free-access grant (§7.8).

Crisis resources are always accessible, with or without a subscription, a trial or an account, at Settings → About → Crisis resources and from the Today screen whenever Premium is not active.

We may change the features Premium includes in future releases. We will not remove a paid feature you are currently subscribed to without notice (§11), and you may cancel at any time as described in §7.5.

7. Subscriptions, Billing and Cancellation

Vagal Premium is sold through the Apple App Store (and, where Vagal is published there, Google Play). We never see or handle your payment details.

7.2 Prices

The price you see in the app is always the price your store will charge you, in your currency, including any regional pricing or promotional offer. Vagal never displays a price of its own: it renders exactly what the App Store reports for your account and region at that moment. If the store cannot tell us a price, the paywall says so instead of guessing. Prices may change; a change to a recurring price is notified to you by Apple and, where the law requires it, takes effect only with your consent.

7.3 Introductory free trial

The annual plan's introductory offer is a 7-day free trial, offered through the App Store to subscribers who have not had it before. Eligibility is determined by Apple, not by us. The trial gives full access to Premium.

Your free trial becomes a paid annual subscription automatically unless you cancel at least 24 hours before the trial ends. If you cancel during the trial you are not charged. If you buy a subscription before a trial has run out, you forfeit the unused part of the trial.

7.4 Auto-renewal

Payment is charged to your Apple Account at confirmation of purchase or, if you start with the free trial, when the trial ends. A subscription renews automatically, at the same price, unless it is cancelled at least 24 hours before the end of the current period. Your account is charged for the renewal within 24 hours before the current period ends.

7.5 How to cancel

Cancel in Settings › [your name] › Subscriptions on your iPhone or iPad, or at the equivalent screen in Google Play. You cannot cancel from inside Vagal, and we cannot cancel for you — the subscription is held by your store account, not by us. Cancelling stops future renewals; Premium stays active until the end of the period you have already paid for.

7.6 Refunds

All refunds are handled by Apple (or Google), under their own policies, at their discretion. We have no ability to issue, expedite or refuse a refund for a purchase made through a store. Request one at reportaproblem.apple.com. Where your local consumer law gives you a statutory right of withdrawal or a right to a refund, that right applies regardless of this section.

7.7 Restoring a purchase

If you reinstall Vagal or move to a new device, use Restore Purchases on the paywall. Entitlements are resolved through your store account, so no Vagal account is needed.

7.8 Gift codes and free access

We may issue single-use gift codes (one code, one person) and limited-use promotional codes (one shared code that a limited number of people, never more than 100, can each redeem once), and we grant free access on request to people who cannot afford a subscription (write to support@vagal.app). Codes and grants are a courtesy, not a purchase: they carry no cash value, may be time-limited, and may be withdrawn if abused. Redeeming a code does not create a subscription and nothing auto-renews.

8. Acceptable Use

You agree not to:

• Reverse engineer, decompile or disassemble the app, except to the extent that applicable law expressly permits it
• Circumvent the paywall, forge or share entitlements, or redeem a gift code you were not given
• Use the app for any unlawful purpose, or to provide a regulated medical service
• Attempt to gain unauthorized access to our systems, or interfere with them
• Resell, sublicense or redistribute the app or your subscription

9. Licence and Intellectual Property

We grant you a personal, non-exclusive, non-transferable, revocable licence to use Vagal on devices you own or control, for your own non-commercial use, subject to these Terms and to the App Store Terms of Service. The app — its code, design, audio, copy and branding — remains ours or our licensors'. Nothing here transfers any intellectual property to you.

10. Your Data

Your use of Vagal is also governed by the Privacy Policy, which is part of these Terms. In short: Vagal works fully offline, nothing syncs until you ask it to, analytics are off by default, crash diagnostics are scrubbed of health data and identifiers before they leave your device, and Settings → Privacy → Delete all data erases both the device's copy and the server's.

11. Availability and Changes to the App

We may change, suspend or discontinue any part of Vagal. We will not remove a paid feature you are currently subscribed to without notice, and if we discontinue Premium altogether we will stop charging for it. Vagal's core practice features work offline; the optional features that need a network (cloud sync, Oura, population recommendations) depend on services we do not control and may be unavailable.

12. Disclaimer of Warranties

To the maximum extent permitted by law, Vagal is provided "as is" and "as available", without warranty of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the app will be uninterrupted or error-free, that its calculations or sensor readings will be accurate, or that it will produce any particular result for you.

Some jurisdictions do not allow the exclusion of certain warranties. Where that is so, this section applies only as far as the law allows, and your statutory rights as a consumer are unaffected.

13. Limitation of Liability

To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential or punitive damages, nor for lost data, profits or goodwill, arising out of your use of or inability to use Vagal — including any health outcome you attribute to a breathing exercise, and any decision you make on the basis of a figure the app displayed.

Where liability cannot be excluded, our total liability to you is limited to the greater of the amount you paid for Vagal in the 12 months before the claim, or USD 50.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.

14. Termination

You may stop using Vagal at any time by deleting it; use Settings → Privacy → Delete all data first if you want your data erased. We may suspend or terminate your access if you materially breach these Terms — in particular §8. Termination does not itself entitle you to a refund; refunds remain a matter for Apple (§7.6).

15. Apple as a Third-Party Beneficiary

For the iOS and watchOS apps:

• These Terms are between you and us, not between you and Apple. Apple is not responsible for Vagal or its content.
• Apple has no obligation to furnish maintenance or support for Vagal.
• If Vagal fails to conform to any applicable warranty, you may notify Apple and Apple may refund the purchase price; to the maximum extent permitted by law, Apple has no other warranty obligation with respect to Vagal.
• Apple is not responsible for addressing any claim by you or a third party relating to Vagal, including product liability, a failure to conform to a legal requirement, or a consumer-protection claim.
• Apple is not responsible for investigating, defending, settling or discharging any third-party claim that Vagal infringes that party's intellectual property.
• You represent that you are not located in a country subject to a U.S. Government embargo or designated as "terrorist supporting", and that you are not on any U.S. Government list of prohibited or restricted parties.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

16. Changes to These Terms

We may update these Terms. The "Last updated" date above always reflects the current version, and material changes are announced in-app or in the App Store release notes. Continued use after a change takes effect is acceptance of it. If you do not accept a change, stop using Vagal and cancel any subscription through your store.

17. Governing Law and Disputes

These Terms are governed by the laws of [GOVERNING LAW — lawyer to confirm; suggested: Wyoming or Delaware], without regard to its conflict-of-laws rules. If you are a consumer resident in the EU, the UK or another jurisdiction whose law gives you the right to bring proceedings locally, that right is unaffected, and the mandatory consumer-protection rules of your country of residence continue to apply.

We would much rather hear from you than from a court: write to support@vagal.app first and we will try to sort it out.

18. Severability and Entire Agreement

If any provision of these Terms is held unenforceable, the rest stays in force and the unenforceable provision is narrowed only as far as necessary. These Terms, together with the Privacy Policy, are the entire agreement between you and us about Vagal, and supersede any earlier version of them.
